Terms and Conditions

These Terms and Conditions (“Terms”, “Terms and Conditions”) govern your relationship with CloudGear mobile application (the “Service”) operated by Bitwise Solutions Ltd (“us”, “we”, or “our”).

Please read these Terms and Conditions carefully before using the CloudGear mobile application (the “Service”). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Acknowledgment

These Terms are concluded between you and Bitwise Solutions Ltd only, and not with Apple Inc. (“Apple”). Bitwise Solutions Ltd is solely responsible for the Service and the content thereof.

Purchases and Subscriptions

Some parts of the Service are billed on a paid basis. You may choose between a recurring subscription (“Subscription”) or a one-time payment (“Lifetime Access”).

Lifetime Access If you choose the Lifetime Access option, you will be charged a one-time fee. This fee unlocks the premium features of the Service for the lifetime of the application without the need for recurring payments.

Subscriptions If you choose the Subscription option, you will be billed in advance on a recurring and periodic basis (“Billing Cycle”). The Billing Cycle is set on an annual basis (or monthly, if selected).

  • Payment: Payment will be charged to your iTunes Account at confirmation of purchase.
  • Automatic Renewal: The Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Renewal Charges: Your account will be charged for renewal within 24 hours prior to the end of the current period at the price you were originally charged for the subscription.
  • Management: Subscriptions may be managed by you and auto-renewal may be turned off by going to your iTunes Account Settings after purchase.
  • Free Trial: Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription to that publication, where applicable.

Refunds

Except when required by law, paid Subscription fees and Lifetime Access fees are non-refundable. Because the Service is sold via the Apple App Store, refund requests are handled by Apple, not Bitwise Solutions Ltd, and are subject to Apple’s refund policies.

Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Bitwise Solutions Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Bitwise Solutions Ltd.

Our Service may contain links to third-party web sites or services that are not owned or controlled by Bitwise Solutions Ltd.

Bitwise Solutions Ltd has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that Bitwise Solutions Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such web sites or services.

Maintenance and Support

Bitwise Solutions Ltd is solely responsible for providing any maintenance and support services with respect to the Service as required under applicable law. You and Bitwise Solutions Ltd acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Service.

CloudGear is in no way endorsed by, affiliated with, sponsored by, or associated with Microsoft Corporation, NVIDIA Corporation, Boosteroid, or any of their associated subsidiaries, logos, or trademarks.

General Disclaimer: Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Bitwise Solutions Ltd and its affiliates and licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Apple Warranty Limitation: In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service. Any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Bitwise Solutions Ltd.

Product Claims

You and Bitwise Solutions Ltd acknowledge that Bitwise Solutions Ltd, not Apple, is responsible for addressing any claims of yours or any third party relating to the Service or your possession and/or use of the Service, including, but not limited to: (i) product liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Limitation Of Liability

In no event shall Bitwise Solutions Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Third Party Beneficiary

You and Bitwise Solutions Ltd acknowledge and agree that Apple, and Apple’s subsidiaries, are third party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.

Governing Law

These Terms shall be governed and construed in accordance with the laws of California, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
